TITLE TO EQUIPMENT: Title to the equipment shall remain in GSI Systems, Inc. until the full purchase price is paid by Customer. GSI Systems, Inc. may remove or, with or without written notice to the Customer, disable and/or abandon in whole or in part, the equipment, upon termination of the Central Station Receiving and Notification Service, or Direct Connection Service, or the Limited Warranty, whichever is later, without obligation to repair or redecorate any portion of the installation premises upon such removal, and that the disablement and/or abandonment of such equipment shall not be held to constitute a waiver of the right of GSI Systems, Inc. to collect charges, which have been accrued hereunder.
LIABILITY/DISCLAIMER OF WARRANTIES: GSI Systems, Inc. does not or warrant: that the alarm system may not be compromised or circumvented; or that the system or services will prevent any loss by burglary, holdup, fire, smoke, or otherwise, or that the system or services will in all cases provide the security for which they are intended
ENTIRE AGREEMENT: Customer acknowledges that he or she is aware that no alarm system can guarantee prevention of loss: that human error on the part of GSI Systems, Inc. or the municipal authorities is always possible, and that signals may not be received if the transmission mode is cut, interfered with, or otherwise damaged. This agreement constitutes the entire agreement between Customer and GSI Systems, Inc. In executing this Agreement, Customer is not relying on advice or advertisement of GSI Systems, Inc. Customer agrees that any representation, promise, condition, inducement or warranty, express or implied, not included in writing in this Agreement shall not be binding upon any party, and that the terms and conditions hereof apply as printed without alteration or qualification, except as specifically modified in writing. The terms and Agreement shall govern notwithstanding any inconsistent or additional terms and conditions or any purchase order or other document submitted by the Customer. This Agreement is not binding unless approved in writing by an authorized Representative of GSI Systems, Inc. In the event of failure of such approval the only liability of GSI Systems, Inc. shall be to return to the Customer the amount, if any, paid to GSI Systems, Inc. upon this agreement. |
